Olam Group Plans Mindsprint Divestment to Wipro as Part of Strategic Reorganisation

Olam Group has announced a significant strategic move as part of its ongoing transformation agenda, agreeing to divest its IT and digital services subsidiary, Mindsprint, to global consulting and technology services leader Wipro Limited for a total cash consideration of US$375 million. The transaction represents a key milestone in Olam Group’s Updated 2025 Re-organisation Plan, which focuses on streamlining its portfolio, unlocking value from non-core assets, and enhancing returns for shareholders.

The agreement involves the sale of Olam Group’s entire 100% stake in Mindsprint, with the final transaction value subject to customary closing adjustments. The divestment reflects the company’s broader strategy to progressively monetize its remaining assets and distribute net proceeds to shareholders through special dividends over time. By doing so, Olam aims to sharpen its focus on its core operating businesses while maintaining strong technological capabilities through strategic partnerships rather than direct ownership.

Alongside the divestment, Olam Group has entered into an extensive eight-year strategic transformation partnership with Wipro. Under this agreement, Olam will commit approximately US$100 million annually toward technology and shared services, representing around 55–60% of its total yearly spending in these areas. This long-term engagement is expected to play a critical role in driving Olam’s digital transformation initiatives and strengthening its operational backbone.

As part of the collaboration, Wipro will provide end-to-end transformation services to Olam Group through a consulting-led, AI-powered approach. Leveraging its industry expertise and partnerships with leading technology providers, Wipro will deploy its proprietary platform, Wipro Intelligence, to deliver advanced digital solutions. These capabilities are expected to accelerate Olam’s mission-critical programs and support the company’s ambition to build a more agile, resilient, and future-ready organization.

The transformation initiatives will span Olam Group’s entire “farm-to-fork” value chain, covering a wide range of operational areas. These include upstream farming activities, manufacturing processes, demand forecasting, commodity trading, supply chain management, and customer engagement. By integrating industry-specific solutions tailored to its unique agribusiness model, Olam aims to enhance efficiency, improve decision-making, and strengthen its ability to respond to market dynamics.

Following the completion of the transaction, Mindsprint will operate as a wholly owned subsidiary of Wipro. Importantly, the leadership team of Mindsprint, headed by CEO Suresh Sundararajan, will remain in place. This continuity is expected to ensure a smooth transition and maintain the company’s operational stability as it scales under Wipro’s global platform. The retention of Mindsprint’s leadership and talent base will also be crucial in sustaining value creation for Olam Group and supporting its long-term strategic priorities.

Mindsprint has grown significantly since its inception within Olam Group, evolving into a specialized provider of technology, cybersecurity, and digital transformation services. The company employs more than 3,200 professionals and serves clients across multiple industries, including food and agribusiness, manufacturing, retail and consumer packaged goods (CPG), as well as healthcare and life sciences. Its client base spans major markets such as the United States, Asia-Pacific, and the Middle East, underscoring its global reach and relevance.

Commenting on the transaction, Sunny Verghese, Co-Founder and CEO of Olam Group, highlighted the strategic importance of the deal. He noted that the divestment marks another important step in the company’s reorganisation journey, enabling it to focus more sharply on its core businesses while unlocking long-term shareholder value. He also emphasized that Mindsprint has played a vital role in driving digital transformation across Olam’s global supply chains, positioning the company for continued growth.

Verghese expressed confidence that Mindsprint’s next phase under Wipro would further enhance its capabilities, combining its deep domain expertise with Wipro’s global scale and advanced technological resources. He added that the strengthened partnership would allow Olam Group to accelerate its transformation agenda and build a more resilient and adaptive organization.

From Mindsprint’s perspective, CEO Suresh Sundararajan described the transition as a natural evolution of the company’s journey. He explained that Mindsprint was originally established to address the complex challenges of global food and agribusiness value chains and has since developed into a trusted transformation partner delivering measurable business outcomes. He emphasized that joining Wipro would provide the scale and resources needed to expand these capabilities globally while continuing to serve Olam Group and other clients effectively.

Meanwhile, Srini Pallia, CEO and Managing Director of Wipro Limited, underscored the strategic value of the acquisition and partnership. He stated that the engagement with Olam Group represents an important opportunity to strengthen Wipro’s presence in the food and agribusiness sector and expand its “farm-to-fork” capabilities. By integrating Mindsprint’s domain expertise and intellectual property with Wipro’s AI-driven consulting approach, Pallia believes the combined entity will unlock new growth opportunities, foster innovation, and deliver impactful transformation solutions to clients worldwide.

The transaction is expected to close by the end of June 2026, subject to customary regulatory approvals and closing conditions. Upon completion, it will not only reshape Olam Group’s business portfolio but also reinforce its commitment to leveraging cutting-edge technology through strategic partnerships rather than direct ownership.

Financial advisory for the transaction was provided by Avendus Capital, which acted as the exclusive advisor to both Olam Group and Mindsprint.
