
AGI Updates Capital Strategy and Strategic Review
Ag Growth International Inc. (AGI) has provided an update on its capital strategy, balance sheet improvement initiatives, strategic review process, and business outlook as the company prepares to enter 2027. The company said it is seeing improving market conditions across several of its core businesses, while ongoing cost-reduction measures and planned asset monetizations are expected to support stronger cash generation and debt reduction.
AGI, a global provider of equipment and solutions for the storage, handling, transportation, and processing of food, said recent market developments are providing greater confidence in its operating outlook. Farm markets have strengthened in recent months, with a notable increase in order intake. At the same time, commercial quoting activity has increased across several important geographic markets.
The company continues to maintain established market positions across North America, Europe, the Middle East and Africa (EMEA), India, and Brazil. Management believes these positions, combined with expected annualized cost savings of more than $30 million and approximately $50 million in identified surplus real estate opportunities, provide a foundation for improving earnings, strengthening cash flow, and reducing leverage.
Capital Strategy Focuses on Debt Reduction
AGI’s capital strategy is centered on reducing debt while proactively addressing upcoming financial maturities. The company’s approach combines improved operating cash generation, structural cost reductions, and the monetization of non-core assets.
Management said the objective is to materially reduce leverage and establish a stronger and more sustainable balance sheet. Several initiatives are already underway as part of this strategy.
Covenant Relief Provides Additional Flexibility
AGI has secured covenant relief under its senior credit facilities through the second quarter of 2027, with the support of its banking partners. The additional flexibility is intended to give the company greater room to execute its operating and financial initiatives while it works to reduce debt and improve its balance sheet.
AGI’s senior credit facility extends through 2030, providing the company with an important source of committed financing as it implements its broader capital strategy.
The covenant relief is also expected to provide additional time for AGI to evaluate financing alternatives and execute transactions related to its debt obligations and non-core asset portfolio.
Proposed Changes to 2026 Debentures
Another key component of AGI’s capital strategy involves its $85 million Third Series 5.25% senior subordinated unsecured debentures, which currently mature on December 31, 2026.
The company has proposed amendments that would extend the maturity date to December 31, 2030. Under the proposed changes, the annual coupon would increase from 5.25% to 9.00%, alongside other amendments.
AGI plans to seek approval from debenture holders at a meeting scheduled for October 28, 2026. Approval requires a quorum representing at least 25% of the outstanding principal amount of the debentures. In addition, holders representing at least 66⅔% of the principal amount represented at the meeting, either in person or by proxy, must vote in favor of the proposed amendments.

The company said required notices, information circulars, and proxy materials will be provided to debenture holders and the debenture trustee ahead of the meeting. The proposed amendments are also subject to approval from the Toronto Stock Exchange.
If approved, the amendments would extend the maturity timeline and form part of AGI’s broader phased approach to managing its debt obligations.
Surplus Real Estate Identified for Monetization
AGI has identified approximately $50 million of excess, non-core real estate that could be monetized. Disposition processes are either planned or already underway, with transactions expected to close through the end of 2026 and into the first half of 2027.
The company expects net proceeds from these transactions to be directed primarily toward debt reduction. The real estate initiative represents one element of AGI’s broader strategy to convert non-core assets into cash and strengthen its financial position.
Importantly, the approximately $50 million identified real estate opportunity does not include potential proceeds from other non-core businesses or assets that are currently being evaluated by AGI and its Board’s Strategic Review Committee (SRC).
Management is evaluating these additional opportunities while maintaining a focus on using internally generated cash and proceeds from non-core asset sales to reduce senior indebtedness.
AGI Addresses 2027 Debt Maturities
The company is also actively reviewing its 2027 convertible debenture maturities well ahead of their respective due dates. AGI said all available options are being considered, with the company maintaining a preference for finding a strategic financing solution that can efficiently address both maturities.
The management team believes that its current operating position, balance sheet initiatives, available financing resources, and planned asset monetizations provide sufficient time and flexibility to address its overall maturity profile.
The proposed amendment to the 2026 debentures is therefore being positioned as one component of a larger debt-management program rather than a standalone measure.
Structural Cost Reductions Expected to Deliver Savings
In parallel with its financing and asset-monetization initiatives, AGI is implementing structural cost reductions expected to generate more than $30 million in annualized savings.
Actions undertaken to date include the closure of the company’s Naperville office, restructuring of underperforming North American business units, and changes to the senior executive team. The company said these measures form part of a broader effort to create a more efficient operating structure and improve profitability.
The expected savings are intended to support cash generation and contribute to the company’s deleveraging objectives. AGI is also continuing to evaluate additional opportunities to improve its cost structure and operating efficiency.
Strategic Review Continues
AGI’s balance sheet initiatives are taking place alongside a formal review of strategic alternatives. The company previously established the Strategic Review Committee to oversee the process and evaluate alternatives intended to maximize shareholder value.
Earlier in October, the SRC formally engaged CIBC Capital Markets and BofA Securities as financial advisors. The advisors will assist the committee in assessing available strategic alternatives and potential value-maximizing strategies.
The review includes, but is not limited to, the potential refinancing of AGI’s 2027 convertible debenture maturities.
According to the company, the covenant relief and other balance sheet optimization initiatives currently underway should provide AGI and its financial advisors with additional flexibility and time to conduct a comprehensive assessment of the alternatives available to the company.
The strategic review could therefore consider a range of potential approaches as AGI works to strengthen its financial position and address future capital requirements.
Improving Market Conditions Support Outlook
Beyond its capital structure initiatives, AGI said it is seeing encouraging signs across its operating businesses. Increased order intake in farm markets and higher commercial quoting activity across key international regions indicate improving activity levels in several parts of the company’s portfolio.
