Anaergia Announces Further Delay in Filing Audited Financial Statements and Related Disclosures

Anaergia Inc. (TSX: ANRG) announced today a longer-than-expected delay in filing its annual information form, audited annual consolidated financial statements for the year ended December 31, 2023, related management’s discussion and analysis, and CEO and CFO certificates (collectively, the “Required Documents”).

Deloitte LLP and Anaergia are working on completing these documents, but the filing date remains uncertain. The Company expects to file the Required Documents in the first half of June 2024.

Due to this delay, there will also be subsequent delays in: (A) filing the interim financial statements for the three months ended March 31, 2024, related management’s discussion and analysis, and CEO and CFO certificates (collectively, the “Interim Required Documents”); and (B) holding the 2024 annual general and special meeting of shareholders (the “Annual Meeting”). The Interim Required Documents are expected to be filed shortly after the Required Documents, with the Annual Meeting anticipated for late July 2024.

As previously disclosed, the Ontario Securities Commission has imposed a failure-to-file cease trade order (“FFCTO”) under National Policy 11-207 – Failure-to-File Cease Trade Orders and Revocations in Multiple Jurisdictions. The FFCTO prohibits trading of any securities of the Company in Canada, including trades of common shares through the Toronto Stock Exchange, until the Required Documents and Interim Required Documents are completed.
