
Umios and Wah Kong Complete Strategic Pet Food Joint Venture in Southeast Asia with Japan Corporate Advisory Institute’s Support
Umios Corporation, formerly known as Maruha Nichiro and listed on the Tokyo Stock Exchange Prime Market under ticker 1333, and Wah Kong Corporation have completed the establishment of a strategic joint venture focused on Pet World International Sdn. Bhd. (PWI), a major pet food company in Malaysia. The transaction brings together two complementary businesses with the goal of strengthening their presence in the rapidly developing Asian pet food market.
As part of the transaction, Umios invested approximately JPY 11.4 billion to acquire a 51% stake in PWI through a newly established holding company. Wah Kong and the existing stakeholders will continue to play an important role in the business, while the new ownership structure provides a foundation for expanding PWI’s operations and product reach across Malaysia and other Asian markets.
The transaction represents an important step in Umios’s broader strategy to expand its pet food business internationally. By combining its existing expertise in wet pet food with PWI’s established capabilities in dry pet food, the joint venture is positioned to provide a more comprehensive product offering for dog and cat owners.
PWI Strengthens Umios’s Asian Pet Food Strategy
PWI has developed a strong position in Malaysia’s pet food industry. According to NielsenIQ data, the company holds the No. 2 position in Malaysia’s overall pet food market and ranks No. 1 among local companies. Its market presence has been supported by established brands, manufacturing capabilities, distribution infrastructure and a broad retail network.
One of PWI’s key competitive assets is its manufacturing operation, which is described as Malaysia’s only BRC-certified pet food plant. The facility supports the company’s ability to produce pet food in accordance with internationally recognized food safety and quality standards.
PWI employs approximately 350 people and has developed an extensive distribution footprint throughout Malaysia. Its products are available through more than 10,000 physical stores, in addition to the company’s own e-commerce channels. This combination of traditional retail distribution and direct online sales gives PWI access to a broad base of consumers and provides an established platform for introducing new products.
For the fiscal year ended September 2025, PWI reported consolidated sales of approximately JPY 12.4 billion. The company’s established position in Malaysia provides Umios with a platform from which to pursue further growth in the country’s pet food sector while exploring opportunities in neighboring Asian markets.
Complementary Wet and Dry Pet Food Capabilities
A central element of the joint venture is the complementary nature of the businesses operated by Umios and PWI. Umios has developed significant capabilities in wet pet food, while PWI has established expertise in dry pet food. The partnership also gives Umios access to PWI’s local knowledge, manufacturing infrastructure and established Malaysian distribution network. At the same time, PWI can benefit from Umios’s international experience and expertise in pet food development and overseas markets.

Umios has established financial targets for its pet food business as part of its growth strategy. The company is targeting approximately JPY 10 billion in pet food operating profit and a return on invested capital (ROIC) of approximately 18% by the fiscal year ending March 2028.
The acquisition of a majority stake in PWI is therefore expected to contribute to Umios’s efforts to increase the scale and profitability of its pet food operations.

Choy Peng Yew, shareholder and CEO of PWI, said the company had been built over many years into one of Malaysia’s leading pet food businesses. He explained that finding a partner capable of supporting PWI’s next stage of development while sharing its long-term vision was an important consideration in the transaction.
According to Choy, Umios brings capabilities in pet food, product development and international markets that complement PWI’s existing strengths. The partnership is expected to provide PWI with additional opportunities to expand beyond Malaysia and develop into a broader Asian pet food platform.
The joint venture consequently represents more than a change in ownership. It establishes a framework through which the two companies can combine their respective capabilities and pursue expansion while maintaining PWI’s existing strengths in the Malaysian market.

He also acknowledged the role played by Japan Corporate Advisory Institute Ltd. (JCAI) in helping establish the relationship between the two companies.

Tokyo-headquartered Japan Corporate Advisory Institute, or JCAI, served as financial advisor to the transaction. The firm specializes in cross-border mergers and acquisitions involving Japan, Southeast Asia and India.
JCAI advised on several aspects of the transaction, including transaction strategy, valuation, negotiations and documentation through closing. Its role included helping the parties navigate the commercial and strategic considerations involved in establishing the new partnership.
